1. Introduction
This Agreement is made between Krisattva Private Limited. ("Disclosing Party") and Signed up party ("Receiving Party").
2. Definition of Confidential Information
Confidential Information includes but is not limited to technical, financial, strategic, and other proprietary information related to Starbuzz.ai's platform and business operations.
3. Obligations of Receiving Party
- Usage: The Receiving Party agrees to use the Confidential Information solely for the agreed-upon purpose and not for any other reason.
- Protection: The Receiving Party will use the same degree of care to protect the Confidential Information as they use for their own confidential information, but no less than reasonable care.
4. Exclusions
- Information that is already publicly known.
- Information received from another source without confidentiality restrictions.
- Information developed independently by the Receiving Party.
5. Duration
The Receiving Party's obligations under this Agreement will continue for a period of 2 years from the date of disclosure of Confidential Information.
6. Return or Destruction
Upon the Disclosing Party's request, the Receiving Party shall promptly return or destroy all copies of the Confidential Information.
7. Governing Law & Jurisdiction
This Agreement is governed by the laws of India. Disputes arising out of this Agreement will be subject to the exclusive jurisdiction of courts in Hyderabad, India.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings, written or oral, related to the subject matter of this Agreement.
